A partnership deed is the contract that says who the firm is. Names. Capital. The ratio in which profits — and losses — will be shared. A current-account desk, a GST window, a tender, a landlord will all ask for a photocopy of that contract, not of the rest of the plastic file. The desk is not asking for a story of how two cousins started a kirana. It is asking for the instrument: the firm name, every partner as named, the capital each brought, the profit-sharing ratio in numbers, the principal place of business, the date the firm commenced. Not a selfie of the first stamp-paper header. Not a WhatsApp crop of the last wet signature. A copy of the contract as executed, as if a xerox machine had seen every sheet.
Shop copies lose the parts that make a partnership a partnership. The ratio is often a short table in eight-point type against a tinted ground. An 8 in 60:40 becomes a 0. Partner parentage sits in the other script and washes grey. Capital figures flare under the copier lamp. The schedule of who may operate the bank account is page six, and page six stays in the file.
A camera-roll JPEG fails more quietly. The firm is visible. It is not findable. Search the phone for partnership deed, or the firm as printed, or a partner’s name as executed, and the result is empty. Friday’s current-account slot arrives. You scroll past wedding pictures of the same two people.
A partnership deed photocopy searchable as a PDF is a different object. Pages sit square, in order. The file has a name. Optical character recognition writes the firm, the partners, the ratio, and the place of business into an invisible text layer. A picture cannot answer “who shares sixty.” A text layer can.
This is the firm's contract. Not an LLP. Not a company. Not a tax sheet.
The Indian Partnership Act, 1932 is a short statute with a long afterlife. Section 4 is the whole idea: a relation between persons who have agreed to share the profits of a business carried on by all or any of them acting for all. Persons, collectively a firm. The paper that records that agreement is the deed. Read the masthead before you shoot.
An LLP agreement is a different person. A limited liability partnership is born under the LLP Act, 2008, on the MCA portal, with a designated-partner identification number and a filing the company world understands. Scanning an LLP agreement and labelling it partnership-deed is a rumour of a firm. If they asked for the partnership deed, send the partnership. Keep the LLP in its own PDF.
A company sits a Board. It has a CIN, Articles, a certified extract of a sitting. A partnership has partners. Do not relabel a company paper as the deed because a bank form had a heading that said “constitutional documents.” Send the instrument the entity actually executed.
Do not send a tax registration and call it the deed. A GSTIN proves the person exists, in this state, for tax. The deed proves who shares the profits. An MSME e-certificate classifies the enterprise. It does not name the partners or the ratio. If they named the partnership deed, send the partnership deed.
A Certificate of Registration of Firm from the state Registrar of Firms is the office noticing the firm. Form I — or Form A, depending on the state — is the application that asked them to notice. Neither is the contract. Section 69 of the Act is why registration of the firm still matters in a court; it is not why a banker asks for the deed. Keep the RoF certificate as its own file. Scan the deed as the deed.
A proprietorship has no partners and no deed. An HUF is status, not an agreement — the Act is blunt that partnership is not created by status. Scanning a karta’s PAN and naming the file partnership is a rumour of a firm.
A reconstituted deed is a later contract: a partner admitted, a partner retired, a ratio rewritten. Same colour stamp paper. Different sitting. Do not bind 2014 into 2024 “so the file is complete.” One instrument, one PDF. A supplementary deed, an addendum, a retirement deed — each as issued, each named separately.
A power of attorney grants hands. It does not make someone a partner. A partner’s visiting card is not a deed. An “authorisation letter” on the firm’s letterhead, unsigned by the other partners, is not a deed.
Partnership at will, under section 7, is a duration clause, not a missing page. If the paper says the firm may be dissolved by notice, that sentence belongs in the photocopy. Crop it and you photocopied a heading, not a term.
साझेदारी विलेख, deed of partnership, भागीदारी करारनामा, கூட்டாண்மைப் பத்திரம் — same contract, different spelling on the masthead. If the paper names a firm, partners, a ratio, a place of business, that is the deed. A scan does not execute one, and it does not reconstitute one.
What the photocopy has to keep
Open the PDF before the clip goes back on. Check without guessing:
- Firm name as executed, including the extra initial or the “and Co.” the bank already has
- Nature of business as recited
- Principal place of business, complete enough that a desk can match a shutter. Other places of business, if printed
- Date of commencement
- Every partner as named — spelling, extra initial, parentage, permanent address
- Capital contribution of each, as numbers, not grey smudges
- Profit-sharing ratio, and the loss ratio if the deed states one separately. That table is the firm
- Duration, or the partnership-at-will language
- Who may operate bank accounts, sign, borrow — jointly, severally, with a limit if printed
- Admission, retirement, death, and dissolution clauses, if they sit in this instrument
- Stamp paper or e-stamp: denomination, certificate number, the QR
- Date and place of execution
- Signatures of all partners, uncropped. A flourish off the edge is a missing person
- Witnesses, if they signed
- Notary’s name and wet stamp, if this deed was notarised
- Registrar of Firms endorsement, if this instrument was presented there — document number, office, stamp. The RoF certificate is still a different file
- Schedules of capital, drawings, or property bound with this deed — in the same PDF, in the same order as the clip
- Every sheet, including a reverse that only holds a serial or a continuation
- Nature of deed as printed. Do not save a partnership as

A crease through the ratio, glare on a partner’s photograph if one was pasted, or ghosting from the reverse: reshoot while the original is still on the table. Folded duty paper wants flattening, not a hotter lamp — flatten first, dark sheet underneath so the reverse does not bleed. Do not iron it.
PDF versus photo is the portal fork: a named file you can attach and find later, not a thumbnail that dies in chat backup. One firm, one sitting of this deed, one file. The Pune kirana and the Hyderabad agency are not a single PDF because both say partner.
The firm’s PAN and a cancelled cheque often travel in the same loan zip. Keep them as their own files. Do not staple the deed to them in one export.
How to scan partnership deed to PDF on phone
The job is a photocopy of a contract, not a gallery of stamp paper.
- Take this deed out of the firm pile. The RoF certificate, the LLP that never happened, last year’s reconstituted deed, the covering letter — they are sitting in the same plastic. They are not this file.
- Unclip and let the curl settle. A glass on the far edge. The ratio table often lives near a fold.
- Dark table, no flash. Green or pink duty paper, an e-stamp QR, and wet signatures bloom under flash. Tilt until the franking and every partner’s name are readable.
- All four corners, every sheet. Serials in the margin, signatures at the foot, the capital schedule, the bank-operation clause. Same distance, same sitting, one PDF.
- Export PDF. Name it without the ratio and without the partners:
